Terms for members

(For all Members – buyers, sellers or both)

  1. Membership

    This Membership Agreement governs your membership of Zengle.com. which enables you to access and use those parts of the Site that are for members.

    Membership is intended to give members an easy, low cost way of buying and selling digital files and is intended to create a community of like-minded people to share their creativity and develop their skills. If you are to use the site as a Seller or Buyer you must be a member. By using the site you agree these Terms of Membership and Terms and Conditions for using the website. If you do not agree to them to you should not access or use the membership parts of the Site.

    If you are using the site on behalf of an employer you accept these terms on their behalf.

  2. Capacity

    You agree that you have the capacity, including age, to use the Site and to be legally responsible for your use of the Site (including use of your password).

  3. Modification of terms

    Zengle reserves the right, in its discretion, to change or modify all or any part of these terms and conditions at any time. Your use of the membership parts of the Site constitutes your binding acceptance of any changes or modifications to these terms and conditions.

  4. Membership Benefits

    Membership benefits include but are not limited to the ability to buy or sell Content (as defined below) on Zengle.com and the ability to access services provided for members only such as message boards, articles, white papers, discounts and special offers and the ability to rate Content and leave comments regarding Content.

  5. Term and Termination

    This Membership Agreement is effective until brought to an end by either party. A member may terminate by emailing support@zengle.com or by written notice to Zengle Ltd. at the address below. Zengle reserves the right, in its sole discretion, to restrict, suspend or terminate your right to access Membership Benefits at any time for any reason without prior notice or liability and in particular where there has been a default on any payment due or an extended period of inactivity. Termination of this Membership Agreement does not relieve you of your responsibilities to pay any amounts due to Zengle or otherwise under this agreement.

  6. Use of Content

    You accept that the Site contains or may contain Content (defined for the purpose of this agreement as photographic images, information, software, audio files, video files, documents, spreadsheets, template designs or illustrations or other material found on the site that may be downloaded) which is protected by copyright, trademark or other proprietary rights of Zengle or Members or other third parties.

    You may not change, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, reverse engineer or in any way exploit any of the Content except as permitted by these terms and conditions or any other agreement entered into for that purpose (such as the Buyers Agreement).

    Content is provided to the Site through members agreeing to supply material. You may upload onto the Site any material that you own subject to these terms and conditions and the appropriate Sellers Agreement.

    The Content can only be downloaded in accordance with the terms of these terms and conditions and the appropriate Buyers Agreement.

    Members must not use the Site in any manner that could damage, disable or overburden the Site and in particular must not upload or otherwise transfer files that contain viruses that may damage or inhibit the operation of another computer.

  7. Form of Content

    Zengle cannot fully monitor the Content. Members are strictly forbidden by the terms of membership to post material or information that is any way libellous, obscene, pornographic, illegal or advocates or suggests illegal activity. Zengle reserves the absolute right to delete, edit or remove material which in its opinion are considered unacceptable, the right to exclude from using this site any member considered to be in breach of this condition and to take legal action against any member who breaches this condition of membership. Material found here could also be in violation of the laws of the country or jurisdiction from which you are viewing this information. Zengle does not encourage the violation of any laws but recognises in particular the right to free publication within the law and particularly within England and Wales which law applies to its terms and conditions.

  8. Password

    Members must keep their password confidential and safe. The member agrees that all uses of the password are with the authorisation of the member. If there is any breach of security a Member must change his or her password which can be done in the member area on the website. If a user cannot login successfully he or she may request that the password is reset and a new password will be emailed to the Member’s registered email address.

  9. Indemnity

    You agree to indemnify and hold each of Zengle, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your use of Zengle, the violation of these Terms and Conditions by you, or the infringement by you, or any other person, of your account, or of any intellectual property or other right of any other person or entity

  10. Law & Jurisdiction

    The law of England and Wales applies to these terms. You agree that the courts of England & Wales shall have exclusive jurisdiction to resolve any dispute arising out of or relating to this Agreement and you also agree that Zengle has the right to take legal action in any jurisdiction where it believes that the Terms have been infringed.

    The use of the Site may in some way be illegal by the law of some other countries or jurisdictions. Zengle makes no representation that the Content is suitable for use in such location and you are responsible for compliance with such law. If any part of the Terms of Membership is found invalid for any reason by a competent court the validity of any remaining part of the Terms shall not be affected and shall continue to apply with any necessary changes as if the invalid part had not existed.


Zengle’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right.
